Acquisition or Disposition Services

If you are looking to buy or sell a business our Principal has experience in all aspects if acquisitions and dispositions.  Services could include:

  • Buy-side financial due-diligence:  Creating due-diligence information requirement questionnaires and checklists. Reviewing and analyzing target information submittals.  Creating the inventory of opportunities and risks identified accompanied by relevant quantifications (e.g. adjustments to statements of earnings or cash flows that would impact buyer valuations)

  • Target valuation: Creating a valuation and investment IRR based on modeling the target's future cash-flows using inputs including but not limited to: adjustments to earnings and cashflows impacting the buyer and inclusion of growth, synergy, capital expenditure, integration cost, and financing cost assumptions based on detailed discussions with buyers and due-diligence output. Creating valuation and IRR sensitivities based on changing assumption variables (ex- sales growth assumptions) to understand how those assumptions can impact price and return so a range of potential offer-prices can be considered. Juxtaposition of model valuation against target asset values and earnings multiples for assessment and determination of target price offerings.

  • Target integration planning and/or leadership: planning includes the creation of a 100-day integration plan, inclusive of owners, timelines, resource needs and set-up of operational rhythm to drive integration task item execution and closure. Leadership may also include running the integration operating rhythm with task owners and/or leading the execution of critical integration items such as the move of data to new financial systems and/or implementing new critical processes and controls and/or the training of employees on the same.

  • Sell-side financial package preparation:  This is basically reviewing and analyzing your business or product line (if selling a part of your business) financials and preparing a package with information that would be relevant to a potential buyer. This can be used to help market your business by business brokers who can help you in finding interested buyers or just to speed a potential buyer's due diligence process along. 

  • Your business valuation: Similar to creating a valuation for a potential acquisition, this service can give you an idea of what to expect in terms of offers and prepare you in your negotiations with potential buyers.

  • Disintegration planning and/or leadership: Often dispositions come with transition service agreements (TSA) with a buyer to ensure the sale of your business has a minimal impact on ongoing operations or customer service while energy is spent internally to hand over the reins to the new owners. Our principal can assist in the upfront planning of the TSA as well as the execution of its elements with the buyer's integration leadership.
